Terms and Conditions — AlcoholPermit.com™

1. Introduction & Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the website located at wordpress-1407854-5234726.cloudwaysapps.com (the "Site"), owned and operated by AlcoholPermit.com™ ("AlcoholPermit.com™," "we," "us," or "our"), a liquor license brokerage and consulting service headquartered at 601 14th Street, Modesto, CA 95354.

By accessing or using the Site, submitting a listing, requesting an appraisal, or engaging our brokerage services in any capacity, you agree to be fully bound by these Terms. If you do not agree with any part of these Terms, you must immediately discontinue use of the Site and our services.

Age Requirement: This Site and all services offered are intended solely for individuals who are 21 years of age or older. By using this Site, you represent and warrant that you are at least 21 years old. We reserve the right to terminate access for any user who we have reason to believe does not meet this requirement.


2. Description of Services

AlcoholPermit.com™ provides the following services (collectively, the "Services"):

  • Brokerage: Acting as a licensed broker to facilitate the purchase and sale of liquor licenses between buyers and sellers across multiple states, including Arizona, California, Florida, Michigan, New Jersey, New Mexico, Ohio, and Pennsylvania.
  • Listings Marketplace: Hosting a searchable marketplace of available liquor licenses listed for sale by sellers, including both public listings and private off-market listings.
  • License Appraisal & Valuation: Providing professional opinion of value for existing liquor licenses based on market conditions, license type, location, and other relevant factors.
  • Consulting: Offering guidance to buyers and sellers regarding liquor license types, state-specific regulations, and the transfer process.
  • Escrow Coordination: Facilitating escrow services in connection with license transactions through our designated escrow officer.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without notice.


3. Broker Role & Limitations

AlcoholPermit.com™ acts solely as a facilitating broker and intermediary between buyers and sellers of liquor licenses. We are not a principal to any transaction and do not hold title to any liquor license listed on the Site. Our role is to introduce parties, assist in negotiations, coordinate documentation, and facilitate the closing process.

Nothing in these Terms or on the Site creates an agency, partnership, joint venture, employment, or fiduciary relationship between AlcoholPermit.com™ and any user, buyer, or seller, beyond the explicit scope of a brokerage engagement agreed upon in writing.


4. No Guarantee of License Transfer or Regulatory Approval

Liquor license transfers are subject to review and approval by the applicable state Alcoholic Beverage Control (ABC) authority, local licensing boards, and/or other regulatory agencies. AlcoholPermit.com™ makes no representation, warranty, or guarantee that any license transfer, application, or transaction facilitated through our Services will be approved by any regulatory authority.

Approval decisions rest solely with the relevant government agencies and are subject to background checks, premises investigations, public protests, quota limitations, and other regulatory criteria entirely outside our control. A failed or delayed approval does not entitle any party to a refund of brokerage fees earned prior to the regulatory decision, unless otherwise agreed in a separate written brokerage agreement.


5. Listing Accuracy & Availability

AlcoholPermit.com™ makes reasonable efforts to ensure that license listings on the Site are accurate and current. However, we do not warrant that any listing — including license type, price, availability, quota status, or location — is complete, error-free, or up to date at the time of viewing. License availability can change rapidly due to regulatory actions, competing offers, or seller decisions.

All listings are provided for informational purposes only and do not constitute an offer or contract for sale. A binding transaction only arises upon execution of a formal purchase agreement signed by all parties.


6. Seller Listing Warranties

If you submit a listing to the Site as a seller or on behalf of a seller, you represent and warrant that:

  • You have the full legal right and authority to list and sell the license described;
  • The license is in good standing with the applicable state ABC authority and is not suspended, revoked, or subject to any pending disciplinary action unless expressly disclosed;
  • All information you provide regarding the license — including type, price, jurisdiction, and encumbrances — is accurate, truthful, and not misleading;
  • You will promptly notify AlcoholPermit.com™ of any material change to the listing information, including a change in availability or regulatory status.

AlcoholPermit.com™ reserves the right to remove or modify any listing at any time if we have reason to believe it is inaccurate, misleading, or in violation of these Terms or applicable law.


7. Appraisal & Valuation Disclaimer

Any license valuation or appraisal provided by AlcoholPermit.com™ represents a professional opinion of estimated market value based on available information at the time of the appraisal. Appraisals are not guarantees of sale price, market demand, or regulatory approval value. Actual sale prices may differ materially from appraised values due to market fluctuations, negotiation outcomes, regulatory changes, and other factors. AlcoholPermit.com™ shall not be liable for any reliance placed on an appraisal or valuation estimate.


8. No Legal or Regulatory Advice

The information provided on this Site — including descriptions of license types, state-specific requirements, county quota information, and transfer processes — is for general informational purposes only and does not constitute legal advice, regulatory counsel, or a professional opinion on any specific situation. Laws and regulations governing liquor licenses vary by state, county, and municipality and are subject to change.

You are strongly encouraged to consult a licensed attorney and/or contact the applicable state ABC authority directly before making any decisions regarding the purchase, sale, or transfer of a liquor license. AlcoholPermit.com™ is not a law firm and no communication with us creates an attorney-client relationship.


9. Fees & Commissions

Our brokerage fees and commission structure will be disclosed and agreed upon in a separate written brokerage agreement prior to the commencement of active brokerage services. By engaging our Services, you acknowledge that a commission or fee may be payable to AlcoholPermit.com™ upon the successful closing of a transaction, as defined in the applicable brokerage agreement. Fees for appraisals, consulting, or other discrete services may be charged separately as agreed in writing.


10. Intellectual Property Rights

All content on this Site — including but not limited to text, graphics, logos, license data, county and state descriptions, search tools, software, and the AlcoholPermit.com™ trademark — is owned by or licensed to AlcoholPermit.com™ and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and view the Site for your personal, non-commercial use in connection with evaluating or engaging our Services.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any content from this Site without our prior written consent.


11. Prohibited Conduct

You agree not to:

  • Submit false, misleading, or fraudulent listing information or inquiries;
  • Use the Site to contact other users for purposes unrelated to a legitimate liquor license transaction;
  • Circumvent AlcoholPermit.com™'s brokerage relationship by directly transacting with a party introduced to you through the Site in order to avoid paying a legitimately earned commission;
  • Use automated bots, scrapers, or data harvesting tools to extract listing data or user information from the Site;
  • Attempt to gain unauthorized access to any part of the Site or its underlying systems;
  • Use the Site in any manner that violates applicable federal, state, or local laws, including any alcoholic beverage control laws;
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.

12. Confidentiality of Private Listings

Certain license listings on the Site are designated as private or off-market. Information about private listings is shared with prospective buyers in confidence and solely for the purpose of evaluating a potential transaction. You agree not to disclose the details of any private listing — including the identity of the seller, the license specifics, or the asking price — to any third party without the express written consent of AlcoholPermit.com™ and the seller.


13. Disclaimers & No Warranties

THE SITE AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AlcoholPermit.com™ DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY LISTING INFORMATION IS ACCURATE OR COMPLETE.


14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AlcoholPermit.com™, ITS OFFICERS, DIRECTORS, EMPLOYEES, BROKERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, LOSS OF A LICENSE OPPORTUNITY, REGULATORY DENIAL COSTS, OR TRANSACTION LOSSES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR OUR SERVICES, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO AlcoholPermit.com™ IN THE THREE (3) MONTHS PRECEDING THE CLAIM.


15. Indemnification

You agree to defend, indemnify, and hold harmless AlcoholPermit.com™ and its officers, directors, employees, brokers, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way related to: (a) your use of the Site or Services; (b) your violation of these Terms; (c) any information you submit to the Site, including listing data; (d) your violation of any applicable law or the rights of any third party; or (e) any transaction you enter into through or in connection with the Site.


16. Force Majeure

AlcoholPermit.com™ shall not be liable for any delay or failure to perform its obligations under these Terms or any brokerage agreement where such delay or failure results from causes beyond our reasonable control, including but not limited to: acts of government, regulatory moratoria, ABC authority processing delays, changes in liquor license law, natural disasters, pandemics, strikes, or disruptions to third-party services. In such events, our obligations will be suspended for the duration of the force majeure condition.


17. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Services, the parties agree to first attempt to resolve the matter through good-faith negotiation by contacting us at Cameron@AlcoholPermit.com. If the dispute is not resolved within 30 days of written notice, either party may pursue resolution through binding arbitration administered by JAMS in Stanislaus County, California, in accordance with its applicable rules, or through the state or federal courts located in Stanislaus County, California. You waive any right to participate in a class action lawsuit or class-wide arbitration.


18. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.


19. Modification of Terms

AlcoholPermit.com™ reserves the right to revise these Terms at any time. When we do, we will update the "Last updated" date at the top of this page. Your continued use of the Site following any changes constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.


20. Assignment

AlcoholPermit.com™ may assign or transfer its rights and obligations under these Terms without restriction. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this section is void.


21. Entire Agreement

These Terms, together with our Privacy Policy and any written brokerage agreement executed between the parties, constitute the entire agreement between AlcoholPermit.com™ and you with respect to your use of the Site and Services, and supersede all prior and contemporaneous agreements, representations, and understandings.


22. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms that is not subject to arbitration shall be brought exclusively in the state or federal courts located in Stanislaus County, California, and you hereby consent to the personal jurisdiction and venue of those courts.
